Job Description
The Legal Director will lead the legal, compliance, and governance functions of a dynamic renewable energy company, acting as the most senior legal authority and Company Secretary. This role is central to supporting the company's commercial growth, operational integrity, and strategic initiatives.
- Commercial Legal: Provide expert legal advice across the business, draft and negotiate complex project and commercial contracts (e.g. EPC, O&M, PPAs), support procurement and asset management teams, and manage disputes and claims.
- Corporate Finance & Transactions: Advise on legal aspects of corporate finance, including debt and equity funding, M&A, and joint ventures. Support due diligence, investment structuring, and capital raising activities.
- Governance & Company Secretarial: Serve as Company Secretary, ensuring strong corporate governance, maintaining statutory records, and advising boards and stakeholders on compliance and fiduciary duties. Oversee the group's legal entity structure and governance processes.
- General Legal Oversight: Handle a broad range of internal legal matters including data protection, IP, regulatory compliance, and risk management. Manage external legal counsel and ensure legal processes are efficient and aligned with business needs.
The Successful Applicant
The ideal candidate for this Legal Director role is a seasoned legal professional with a strong blend of technical expertise and commercial awareness. They will bring over a decade of post-qualification experience, ideally gained across both private practice and in-house roles within the energy, infrastructure, or construction sectors. This individual will be confident operating as a senior or sole legal counsel, with the ability to lead legal strategy while supporting day-to-day operations in a fast-paced, mission-driven environment.
They should be a qualified solicitor or barrister (England & Wales) with a proven track record in:- Drafting and negotiating complex commercial and project agreements (e.g. EPC, O&M, PPAs).
- Advising on corporate finance, M&A, and joint ventures.
- Managing governance, compliance, and Company Secretarial responsibilities.
- Working with standard form contracts such as FIDIC and IChemE.
- Commercially minded - able to balance legal risk with business opportunity.
- Clear communicator - skilled at translating legal complexity into practical advice.
