Assistant Company Secretary

Our client, a leading European life sciences organisation, is looking to recruit an Assistant Company Secretary to assist the Company Secretary for a 12-month period.

The role is hybrid with 2 days per week office based in central London.

The role will focus on supporting the Company Secretary in the effective and efficient provision of secretariat services and corporate governance. The Assistant Company Secretary will have exposure to all parts of the business working directly with the company and investor boards to ensure the smooth running of the Company Secretary function. This includes providing functional expertise in regards to legal, legal, governance, regulatory and compliance matters aimed at minimising risk and exposure.

Key responsibilities will include managing the administration of any long-term incentive schemes on behalf of the Board, providing documentation on key issues pertaining the business, obtaining investor consent and maintaining a register of consents, compiling financial reports, maintaining corporate structures, and ensuring corporate filings with regulatory bodies are keep up to date.

To be considered for this role, it is essential that you have previous Company Secretarial experience which has included working in an organisation with large group structures and European subsidiaries. Knowledge of working practices of NHS and pharmaceutical companies is also preferred, along with knowledge of company law and practice, and previous experience of taking minutes and preparing and distributing board papers.
