Top legal 500 law firm in Central London are seeking a Corporate & Commercial Paralegal to join their team, on a full time, permanent basis. Salary up to £35,000 dependent on experience.

The paralegal will join a small, collaborative corporate and commercial team based in London, supporting solicitors and partners on a broad range of corporate, commercial and finance matters. Prior corporate/commercial experience is required. The role combines substantive legal experience with regulatory and administrative responsibilities. The team services the full range of business law requirements of the firm’s clients, thus providing wide and diverse experience to its more junior members

Corporate & Commercial Paralegal duties will include:
  • Supporting lawyers on domestic and cross-border share and business acquisitions and disposals.
  • Reviewing corporate, commercial, and financial documents as part of due diligence.
  • Assisting in the drafting and negotiation of key transaction documents, including NDAs, term sheets, HoTs, SPAs, BPAs, and disclosure letters.
  • Supporting in the organisation of signing, funding, and post-completion filings.
  • Drafting and reviewing basic commercial agreements (NDAs, service agreements, consultancy agreements, supply and distribution agreements).
  • Conducting Companies House searches and preparing statutory filings.
  • Supporting ongoing company secretarial matters and corporate housekeeping.
  • Liaising with clients, third parties and the other side by email and telephone.
  • Supporting partners and lawyers with client management and business development initiatives.
The paralegal will also contribute to key compliance and operational processes in line with the SRA’s regulatory framework and firm procedures, including:
  • Conducting client due diligence in accordance with AML regulations.
  • Collecting and verifying client identity and ownership documentation.
  • Carrying out sanctions screening and risk assessments.
  • Preparing engagement letters.
  • Assisting with billing processes, WIP tracking, and client reporting.
  • Coordinating with accounts teams to process payments and manage client account transactions.
  • Opening new matters, running conflict checks, and maintaining accurate file records.
  • Uploading and managing documents in the firm’s document management system.
  • Maintaining transaction checklists, CP trackers, and post-completion registers.
  • Coordinating document execution (including via DocuSign).
  • Preparing completion bibles and deal summaries.
  • Filing company forms and registering charges at Companies House.
  • Managing and updating legal precedent banks.
Corporate & Commercial Paralegal skills and attributes to include:
  • Excellent organisational and time management skills, with the ability to manage multiple workstreams.
  • Strong attention to detail and accuracy in drafting, document review, and data entry.
  • Understanding of AML/KYC principles and SRA regulatory requirements.
  • Awareness of GDPR and data handling obligations.
  • Confidence liaising with clients, external counsel, and other advisers
