We are now seeking a Company Secretary to join our high‑impact team and contribute to the success of one of the sector’s most forward‑looking organisations.
Purpose of the Role
The Company Secretary will play a central role in ensuring that all Marcura group entities comply with applicable corporate governance requirements, regulatory obligations and ongoing statutory filings. Working closely with the Group General Counsel, the Company Secretary will support effective strategic decision‑making, oversee board and entity administration. Moreover, the Company Secretary will help maintain robust, transparent and compliant corporate operations across the Marcura group.
Job Responsibilities
- Maintain statutory registers and ensure the timely and accurate filing of all required corporate documents such as annual returns, shareholder resolutions and changes to directors, officers, or corporate structure across all operating jurisdictions.
- Oversee and manage all Marcura legal entities to ensure compliance with applicable legal, regulatory and corporate governance requirements in each jurisdiction in which the Group operates.
- With support from the Group General Counsel and external advisors, monitor developments in relevant legal and regulatory areas (including ESG, AML, and data privacy) and assess their impact on governance frameworks and obligations.
- Maintain and continuously improve a centralised corporate records management system for all Group entities.
- Coordinate entity‑related projects including incorporations, restructurings, simplifications, liquidations and inter‑company transactions in close collaboration with legal, finance, compliance and tax teams. Communicate effectively with other stakeholders and advisors where required.
- Liaise with external company secretarial service providers, registered agents and regulators in all relevant jurisdictions (e.g., UAE, Portugal, Singapore, India, the Philippines).
- Support enterprise risk management initiatives by embedding and monitoring relevant governance controls.
- Provide governance input into legal and compliance audits, due diligence processes, and M&A activities.
- Act as a key point of contact for corporate regulators and other external stakeholders on governance and compliance matters.
- Contribute to broader Marcura Group governance initiatives as required.
Requirements
- Education: BA/LLB/Other undergraduate degree with Chartered Governance Professional accredited by CGIUK or equivalent body (not essential)
- Minimum of 4 years plus of work experience as a Company Secretary in a common law jurisdiction preferred
- Should have an experience in a common law jurisdiction preferred.
