Head of Governance, Technology and Operations
Role Purpose:
Within PG&C, the Group Governance function serves as principal advisor to boards and businesses on all aspects of corporate governance and leads and implements a world-class end to end corporate governance practice throughout the Group. As a senior member of the Governance function, the role holder will help drive the function’s priorities: enabling growth, simplify to amplify, cultivate sustainable talent and culture, protect and build our foundations.
The Head of Governance, Technology and Operations is accountable for the provision of end-to-end governance and company secretarial services to the Group Chief Operating Officer (GCOO), Group Chief Information Officer (GCIO), and is secretary and trusted advisor to the Group Technology and Operations Committee.
Accountabilities:
- Act as a trusted advisor and provide expert advice, oversight and challenge to the GCOO and GCIO on strategy and performance in line with good corporate governance and risk appetite.
- Provide advice and guidance to the GCOO and GCIO on governance best practice to facilitate fulfilment of their senior manager responsibilities.
- Implement Group Governance simplification initiatives and projects for GCOO and GCIO, including meeting simplification, digitisation of governance, and individual accountability.
- Ensure that GCOO and GCIO reports and MI are of required quality and adhere to Group Governance best practice and principles, undertaking training with stakeholders as required
- Act as secretary to the GTO Committee, providing proactive, effective and trusted guidance and support to the Chair and Members on all corporate governance matters.
- Work effectively with other Board Committee secretaries to ensure streamlining and simplification of agendas to optimise use of the GTO Committee and other relevant Committee’s time.
- Provide effective guidance to management on matters to be considered at GTO Committee, presentations and reports. Ensure that Group Governance best practice is followed.
- Ensure all external reporting related to GTO Committee is appropriately syndicated and verified prior to publication.
- Contribute to the development of Group Governance strategy and governance initiatives.
- Lead and develop a team of professionals to deliver role outcomes
Requirements:
- Technical knowledge: Comprehensive understanding and experience of company secretarial, governance and regulatory environment pertaining to large complex financial services organisation. Knowledge of and understanding of individual accountability regimes.
